1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Paloma's AI Academy (the "Company," "we," "us," or "our"), a business operated by Dorota Mleczko, governing your access to and use of the website https://palomasacademy.ai (the "Site") and all services, courses, coaching programs, digital products, memberships, and other offerings provided through the Site (collectively, the "Services").
By accessing or using the Site, registering for an account, purchasing any product or service, or otherwise engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must immediately discontinue use of the Site and Services.
We reserve the right to modify these Terms at any time. Your continued use of the Site or Services after changes are posted constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.
2. Eligibility
You must be at least 18 years of age and possess the legal capacity to enter into a binding contract in your jurisdiction to use the Site and Services. By using the Site or purchasing Services, you represent and warrant that you meet these eligibility requirements.
Our Services are not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13 in compliance with the Children's Online Privacy Protection Act (COPPA). If we learn that we have collected personal information from a child under 13, we will delete that information promptly. If you are accessing the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
3. Description of Services and Products
Paloma's AI Academy provides AI training, consulting, and educational services designed for businesses and professionals seeking to implement and leverage artificial intelligence technologies. Our Services include, but are not limited to:
- Online Courses and Training Programs: Self-paced and instructor-led courses covering AI implementation, automation, prompt engineering, and related topics.
- Coaching and Consulting Services: One-on-one or group coaching sessions, strategic consulting, and personalized guidance on AI adoption and integration.
- Digital Products: Downloadable resources, templates, guides, toolkits, and other educational materials related to AI and business automation.
- Membership Programs: Ongoing access to exclusive content, community forums, live sessions, and continuous learning resources (if applicable).
- Workshops and Live Events: Virtual or in-person training sessions, webinars, and workshops on AI-related topics.
The specific features, content, duration, and deliverables of each Service are described in the applicable product or service description at the time of purchase. We reserve the right to modify, suspend, or discontinue any Service or product at any time, with or without notice, though we will make reasonable efforts to notify active customers of material changes affecting purchased Services.
4. Accounts and Registration
Certain Services require you to create an account by providing accurate, current, and complete information, including your name, email address, phone number, and payment details. You agree to:
- Provide truthful and accurate information during registration and keep your account information up to date.
- Maintain the confidentiality of your account credentials (username and password) and restrict access to your account.
- Accept responsibility for all activities that occur under your account, whether or not authorized by you.

We reserve the right to suspend or terminate any account that provides false, inaccurate, or misleading information, or that violates these Terms. You may not transfer, sell, or share your account with any other person or entity.
5. Purchases, Pricing, and Payment
All prices for Services and products are displayed on the Site in the currency indicated and are subject to change at any time without notice. Prices do not include applicable taxes, which will be calculated and added at checkout based on your billing address.
Payment Processing: All payments are processed through a third-party payment processor. We do not store your complete credit card or payment information on our servers. By providing payment information, you authorize us (through our payment processor) to charge the applicable fees to your designated payment method.
Subscriptions and Auto-Renewal: Certain Services may be offered on a subscription basis with automatic recurring billing. By purchasing a subscription, you authorize us to charge your payment method automatically at the beginning of each billing cycle (monthly, quarterly, or annually as specified) until you cancel. Subscription fees are billed in advance and are non-refundable except as required by law. You may cancel your subscription at any time through your account settings or by contacting us at hello@palomasacademy.ai, and cancellation will take effect at the end of the current billing period.
Taxes: You are responsible for all applicable taxes, duties, and governmental charges associated with your purchase, except for taxes based on our net income. If we are required to collect or pay taxes for which you are responsible, the appropriate amount will be invoiced to and paid by you.
Failed Payments: If a payment fails or is declined, we may suspend or terminate your access to subscription Services until payment is successfully processed. We reserve the right to charge late fees or interest on overdue amounts to the extent permitted by law.
6. Refund and Cancellation Policy
Digital Products and Courses: Due to the immediate access provided to digital content and courses upon purchase, all sales of digital products and self-paced courses are generally final and non-refundable. However, if you are dissatisfied with a purchase, please contact us at hello@palomasacademy.ai within [refund window] of purchase to request a refund. Refund requests will be evaluated on a case-by-case basis, and refunds may be granted at our sole discretion, particularly if you have not accessed or downloaded a substantial portion of the content.
Coaching and Consulting Services: Fees for scheduled coaching or consulting sessions are non-refundable once the session has been held. If you need to cancel or reschedule a session, you must provide at least 24 hours' notice. Sessions canceled with less than 24 hours' notice may be forfeited without refund.
Subscription Services: Subscription fees are non-refundable. You may cancel your subscription at any time, and you will retain access to the subscription Services through the end of your current billing period, but no refunds will be issued for partial billing periods.
Chargebacks: Initiating a chargeback or payment dispute without first contacting us to resolve the issue may result in immediate termination of your account and access to all Services.
Refunds, when granted, will be processed to the original payment method within a reasonable timeframe. This refund policy does not affect any statutory rights you may have under applicable consumer protection laws.
7. Intellectual Property and License to Use
All content, materials, and Services provided through the Site, including but not limited to text, graphics, logos, images, videos, audio, software, course materials, templates, and other digital assets (collectively, "Company Content"), are the exclusive property of Paloma's AI Academy or its licensors and are protected by copyright, trademark, and other intellectual property laws.
License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Company Content solely for your personal, non-commercial use or internal business use as applicable to the Services you have purchased. This license does not permit you to:
- Reproduce, distribute, publicly display, or create derivative works from Company Content without our prior written permission.
- Use Company Content for any commercial purpose or for the benefit of any third party.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices from Company Content.
- Share, resell, or transfer your access to courses, digital products, or other Services to any third party.
- Use automated tools (bots, scrapers, crawlers) to access or download Company Content.
Reservation of Rights: All rights not expressly granted to you in these Terms are reserved by Paloma's AI Academy. Unauthorized use of Company Content may violate copyright, trademark, and other laws and may result in termination of your license and legal action.
8. User Content and Acceptable Use
Certain Services may allow you to submit, post, or share content, including comments, questions, feedback, testimonials, project submissions, or other materials ("User Content"). You retain ownership of your User Content, but by submitting it through the Site or Services, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute your User Content for the purposes of operating, promoting, and improving our Services.
You represent and warrant that:
- You own or have the necessary rights to submit your User Content.
- Your User Content does not infringe any third party's intellectual property, privacy, or other rights.
- Your User Content complies with these Terms and all applicable laws.

We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable, in our sole discretion. We may suspend or terminate your access to the Services for any violation of these acceptable use provisions.

The Site and Services may contain links to third-party websites, services, tools, or resources that are not owned or controlled by Paloma's AI Academy. We provide these links for your convenience, but we do not endorse, monitor, or assume any responsibility for the content, privacy policies, or practices of any third-party sites or services.
Your interactions with third-party services, including payment processors, software integrations, social media platforms, and external tools, are governed solely by the terms and policies of those third parties. We are not liable for any loss or damage arising from your use of third-party services or reliance on third-party content.
You acknowledge and agree that we will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any third-party services or content.

AS IS AND AS AVAILABLE: THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PALOMA'S AI ACADEMY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
No Guarantee of Results: We do not guarantee, represent, or warrant that your use of the Services will result in any specific outcomes, including but not limited to increased revenue, business growth, successful AI implementation, or any other particular result. Your results will depend on numerous factors, including your effort, background, business model, market conditions, and other variables beyond our control. Any testimonials, case studies, or examples of results shared through the Site or Services are not guarantees of your individual results.
Accuracy and Completeness: While we strive to provide accurate and up-to-date information, we do not warrant that the content provided through the Services is accurate, complete, reliable, current, or error-free. AI technologies and best practices evolve rapidly, and information may become outdated.
No Professional Advice: The information and guidance provided through the Services are for educational and informational purposes only and do not constitute professional, legal, financial, technical, or business advice. You should consult with appropriate professionals before making business decisions or implementing AI technologies based on information obtained through the Services.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PALOMA'S AI ACADEMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

12. Indemnification
You agree to indemnify, defend, and hold harmless Paloma's AI Academy, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- Your use of or inability to use the Site or Services.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any third-party right, including any intellectual property, privacy, or other proprietary right.
- Any User Content you submit or transmit through the Services.

13. Term and Termination

Termination by Us: We may suspend or terminate your access to the Site or Services, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or any applicable law.
- Fraudulent, abusive, or illegal activity.
- Non-payment of fees.
- At our sole discretion if we cease offering the Services.
Effect of Termination: Upon termination, your right to access and use the Services will immediately cease. You will remain responsible for all fees and charges incurred prior to termination. Termination does not entitle you to any refund unless otherwise specified in our refund policy.
Survival: The following sections will survive termination of these Terms: Sections 5 (payment obligations), 7 (intellectual property), 8 (User Content license and acceptable use), 10 (disclaimers), 11 (limitation of liability), 12 (indemnification), 14 (dispute resolution and governing law), and 16 (severability and entire agreement).
14. Dispute Resolution and Governing Law
Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@palomasacademy.ai to attempt to resolve the dispute informally. We will make a good-faith effort to resolve the matter through negotiation within thirty (30) days of receiving your notice.
Governing Law: These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of [governing jurisdiction], without regard to its conflict of law principles.

If you are a consumer residing in the European Union or United Kingdom, nothing in this section affects your statutory rights under applicable consumer protection laws, including your right to bring proceedings in your country of residence.
15. Changes to These Terms
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. When we make changes, we will update the "Last updated" date at the top of this page and, if the changes are material, we will provide additional notice by posting a prominent announcement on the Site, sending an email to the address associated with your account, or through other reasonable means.
Your continued use of the Site or Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Site and Services and, if applicable, cancel any active subscriptions.
It is your responsibility to review these Terms periodically to stay informed of any updates. Material changes will not apply retroactively to disputes or claims arising before the effective date of the change.
16. Severability and Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, it will be severed from these Terms.
These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and Paloma's AI Academy regarding your use of the Site and Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Paloma's AI Academy.
